Terms of Use

Please read these Terms of Use ("these Terms") carefully before using the loyalty platform service provided at meedloyalty.com (“Service”) operated by us, Meed Limited (Hong Kong).
These Terms apply to all visitors, users and others who access or use the Service. You should also read our Privacy Policy.

Our Role
 

We offer the meed platform for Program Operators to create and manage loyalty programs (“Programs”). The Program Operators, not us, organise Programs listed on meed. We are a third-party service providing the technology for Program Operators to create and manage loyalty programs, and we are not responsible or liable for any content or activities related to the Programs, any change or cancellation to the Programs or any information or representation provided by any Program Operator.

Program Operators have full control over activities and offers under their Programs. It is the Program Operator’s responsibility to inform Program members of any other relevant terms or policies that apply to the use of the Program outside of these Terms, and to respond to and resolve any concerns or disputes that you may have regarding their Programs.

Content
 

The Service may allow you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are solely responsible for any Content you post.

You grant us an unrestricted, worldwide, irrevocable, non-exclusive and royalty-free right to use, adapt, modify, publish, translate, distribute and display any Content you post on the meed  platform, in any form or media.

Links To Other Websites
 

The Service may contain links to third-party websites or services not owned or controlled by us.
We have no control over and assume no responsibility for any third-party websites or services' content, privacy policies, or practices. You further acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such websites or services.

Acceptable Use Policy
 

You must not misuse or allow another person to misuse the Service. In particular, you must not:

  1. use the Service for any unlawful, unauthorised or fraudulent purpose or manner;

  2. use the Service in a way that could damage or compromise our systems or security;

  3. access the Service by any means other than our publicly supported interfaces;

  4. probe, scan, or test the vulnerability of any of the Service’s system or network;

  5. breach or otherwise circumvent any security or authentication measures or service use limits;

  6. access, tamper with, or use non-public areas or parts of the Service;

  7. interfere with or disrupt any user, host, or network, for example, by sending a virus, trojan, worm, logic bomb, or any other material that is malicious or technologically harmful, overloading, flooding, spamming, or mail-bombing any part of the Service, or by scripting the creation of any content in such manner as to interfere with or create an undue burden on the Service;

  8. reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code for the Service or any related technology that is not open source;

  9. send unsolicited communications, promotions or advertisements, or spam;

  10. forge any TCP/IP packet header or any part of the header information in any email;

  11. send altered, deceptive, or false source-identifying information, including "spoofing" or "phishing";

  12. conduct pyramid schemes or abuse referrals or promotions;

  13. post, publish, upload, display, distribute, or share materials that are unlawful, inappropriate, profane, pornographic, obscene, indecent, libellous, defamatory, abusive, or knowingly false, and/or that infringe intellectual property rights;

  14. violate applicable laws or regulations in any way; or

  15. violate the privacy or infringe the rights of others.

 

You must ensure that you have the necessary authorisation, and comply with all applicable laws and regulations, in any survey, contest, promotion or advertisement of products or services through your use of the Service.

If you import any person’s data into meed (e.g., names/emails), you must have the individual’s explicit consent to do so. Violation of this Acceptable Use Policy will result in suspension of your account.

 

Copyright, Trademarks, and Other Intellectual Property
 

All content and other materials available on our websites and presented as part of the Service, including, without limitation, trademarks, service marks, trade names, images, audio, text, software, and the “look and feel” of meedloyalty.com and its associated lower-level webpages (collectively, “Site Content”) are protected by copyright, trademark, and other intellectual property laws. Such Site Content includes stylised “meed” designs, which are common law trademarks of Meed Limited. You may not reproduce, republish, distribute, display, perform, transmit, sell, or otherwise use any Site Content without our express written permission, except when such actions occur in connection with bona fide Service uses through our publicly supported interfaces. In this regard, users are prohibited from downloading, republication, retransmission, reproducing, or using any image (and other similar content) as a stand-alone file. Site Content must not be used in any manner that is likely to confuse consumers or users.

Your Representation
 

You represent and confirm that you have the necessary legal capacity and authority to agree to these Terms. You also confirm that all information you provide to us is complete, accurate, and up to date.

 

Limitation of Liability
 

To the fullest extent permitted by law, we (including our holding company(ies), subsidiaries, affiliates, directors, officers, employees, agents, representatives, partners and licensees) expressly limit our liabilities in connection with or arising out of the provision of the Service as follows:

  1. we provide the Service on an “as is” and “as available” basis, and your access to or use of the Service is at your own risk;

  2. we give no assurance, representation or warranty of any kind (whether express or implied) about the Service. In particular, we expressly disclaim all warranties and representations (for example, warranties of merchantability, fitness for a particular purpose, and non-infringement);

  3. we do not warrant that the Service is free of defects, viruses, malfunctions or harmful components that could damage or allow unauthorised access to your computer, computer network, or data, and we are not responsible for any delay or disruption in the Service or any defect, viruses, bugs or errors;

  4. you are solely responsible for any damage to your computer, computer network, or data (including loss of data) that results from your access or use of the Service;

  5. we are not responsible for the conduct of, or any content or information submitted or posted by, any user or the Program Operator; and

  6. we make no representation or warranty that the Service is appropriate or available for use in all geographic locations. You are solely responsible for compliance with all applicable laws for accessing or using the Service.

Neither we, our subsidiaries, affiliates, nor our respective officers, directors, shareholders, employees, agents or representatives (or their respective successors and assigns) shall be liable in contract, tort (including negligence), or otherwise for any direct, indirect, incidental, special, punitive, or consequential damages resulting from the Service, attempted use or inability to use the Service, including but not limited to damages for any loss of data, business, opportunities, reputation, profits, revenues or other intangibles.  You agree that our total liability for loss or damages, regardless of whether we have been advised of the possibility of such loss or damage, shall not exceed the total amount (if any) received by us from you to access the Service over the last twelve (12) months. You must take all necessary steps and actions to mitigate your loss and damages.

Indemnification
 

You agree to indemnify, hold harmless, and release us, our subsidiaries, affiliates, and our respective officers, directors, shareholders, employees, agents, representatives (and their respective successors, assigns and transferees) from and against any and all claims, liabilities, damages, costs and expenses, including but not limited to reasonable attorney’s fees, arising from or related to your access, use, attempted use, inability to use, or misuse of the Service, or your misrepresentation or non-compliance with these Terms. You also agree to fully cooperate with us in the defence or settlement of any claim concerning or arising out of the Service or these Terms.

Governing Law, Jurisdiction, and Limitation of Actions
 

The Service is created and controlled by Meed Limited in the Hong Kong Special Administrative Region (“Hong Kong”). You agree that these Terms will be governed by and construed in accordance with the laws of Hong Kong. You agree that all legal proceedings arising out of or in connection with these Terms or the Service must be brought in a court located in Hong Kong. You expressly submit to the exclusive jurisdiction of said courts and consent to extraterritorial service of process.
 

General Provisions
 

If any provision of these Terms is found to be invalid or unenforceable, such provision shall be severed from the remainder of these Terms, which shall remain in full force and effect. Our failure or delay to exercise any right or act upon a breach under these Terms does not constitute a waiver of that right or breach. The section headings used in these Terms are for reference only and shall not affect the interpretation of these Terms.

We may transfer our rights or obligations under these Terms to any third party without your consent, and these Terms enure to the benefit of and shall be enforceable by our successors, assigns and transferees.  The Contracts (Rights of Third Parties) Ordinance (Cap. 623) shall not apply to these Terms under any circumstances.  

 
Termination
 

We may terminate or suspend access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Changes
 

We reserve the right, at our sole discretion, to modify or replace these Terms at any time by posting the updated Terms on our website. By continuing to access or use the Service, you agree to be bound by these Terms.
