Terms and Conditions meed Events

1. DEFINITIONS AND INTERPRETATION

1.1 Definitions

In these Terms & Conditions, the following terms have the meanings set out below:

"Agreement" means the Order Form signed by you and accepted in writing by meed, together with these Terms & Conditions.

"Business Day" means a day other than Saturday, Sunday or public holiday in Hong Kong.

"Event" means the event(s) specified in the Order Form, including the Event dates and venue.

"Exhibitor" means each participating vendor or business at the Event as a Program location under the Event Program.

"Force Majeure Event" has the meaning set out in Clause 12.1.

"meed"** means Meed Limited, a company incorporated in Hong Kong with registered address at Unit 608, 6/F Sunbeam Centre, 27 Shing Yip Street, Kwun Tong, Kowloon, Hong Kong or such other address as may be published from time to time, and its successors and permitted assigns.

"Order Form" means the order form signed by you and accepted in writing by meed, specifying the Event details, Service package and fees.

"Program" means the loyalty program created for your Event through the Service.

"Service" means meed's event loyalty service as described in Clause 2.

"Visitor" means attendees at your Event who join the Program and participate as members.

1.2 Interpretation

In these Terms & Conditions, unless the context otherwise requires: (a) words in the singular include the plural and vice versa; (b) references to a "person" include individuals, companies and other legal entities; (c) "writing" and "written" include email; (d) "days" means calendar days in Hong Kong time unless specified as "Business Days"; (e) headings are for convenience only and do not affect interpretation; and (f) words following "including", "include", "in particular", "for example" or similar expressions are illustrative and do not limit the preceding words.

 

2. THE MEED EVENTS SERVICE

2.1 Service Delivery

meed Events is delivered as a managed service. meed will configure and set up your Event Program based on the information and assets you provide (detailed in Clause 3).

Your access to the Service includes:

  • Event Organizer: Analytics dashboard access via PIN login (using your registered email address) to view Event performance data. When using the business app, you have access to all booth locations.

  • Exhibitors: Business app access via PIN credentials provided to you by meed for distribution to each Exhibitor, enabling them to perform stamping and redemption activities at their assigned booth location.

Changes to your Event Program during the Event period require written request to meed.

2.2 What the Service Includes

The Service includes the following components as specified in the Order Form:

(a) Program Setup: Creation of your Event Program with stamp card configuration (up to 20 rewards), exhibitor locations, and welcome coupon (if requested);

(b) Access Credentials & Materials: PIN login credentials for you and all Exhibitors (provided to you for distribution to Exhibitors), digital QR poster design from fixed template for each booth location, programmed NFC tags for each Exhibitor location, and training materials. Credentials will be distributed in accordance with the timeline specified in the Order Form;

(c) Analytics Access: Dashboard access during your Event for oversight of exhibitor and visitor activities, with data export functionality;

(d) Post-Event Access: Continued analytics access for 30 days after Event end date; and

(e) Support: Email support during Event setup and Event period (Hong Kong business hours, 9am-6pm HKT, Monday-Friday).

2.3 Service Availability

meed will use reasonable efforts to provide the Service during the Event period. The Service is provided on an "as available" basis without guaranteed uptime. meed is not responsible for Service unavailability or degradation caused by: (a) third-party services including app stores, mobile networks, internet service providers, or hosting providers; (b) venue infrastructure or internet connectivity; (c) your or Exhibitors' equipment or network issues; (d) your breach of this Agreement; or (e) scheduled maintenance communicated to you in advance.

 

3. YOUR OBLIGATIONS

3.1 Information and Assets

To enable timely Service delivery, please provide the following:

(a) At least 30 days before Event start date:

  • Complete Exhibitor list (business name, contact person name, email, phone number, booth location)

  • Logo for each Exhibitor

  • Shipping address (if physical materials ordered)

  • Floor plan (if available)

(b) At least 14 days before Event start date:

  • Event details: Event name, dates, venue, industry, estimated spend per stamp, currency

  • Program assets: Program name, description, brand color, logo, reward names and images, welcome coupon details (if applicable)

3.2 Impact of Delays

meed's Service delivery is based on receiving complete and accurate information by the deadlines in Clause 3.1. If information is provided after these deadlines, meed will use reasonable efforts to deliver the Service on time but delivery by your Event start date cannot be assured. Any delay in Service delivery resulting from late payment of fees or late provision of information by you is not meed's responsibility.

3.3 Your Confirmations

You confirm that: (a) you have authority to share Exhibitor contact information (business name, contact person name, email, phone number) with meed for Service delivery; (b) you will distribute PIN login credentials to Exhibitors for accessing the business app during the Event; (c) all assets and content you provide are legally owned by you or authorized for use in the Event; (d) you will distribute meed's training materials to Exhibitors; and (e) Exhibitors access the Service as your authorized users and you will ensure they comply with meed's Terms of Use.

3.4 Platform Terms and Privacy

You and your Exhibitors agree to comply with meed's Terms of Use (meedloyalty.com/terms-of-use). You acknowledge and agree to meed's Privacy Policy (meedloyalty.com/privacy-policy) which sets out how meed collects and uses personal data.

Visitors who join the Program are meed members subject to meed's Membership Terms and Conditions and Stamp Card, Coupon and Reward Terms and Conditions (meedloyalty.com/stamp-card-coupons-rewards-terms-conditions).

3.5 Accuracy of Information

You are responsible for the accuracy and completeness of all information provided to meed. Errors or omissions may impact Service delivery timing or Exhibitor access. You are responsible for ensuring each Exhibitor receives their correct credentials.

3.6 Account Security

You are responsible for maintaining the confidentiality of all PIN credentials provided by meed. Please notify meed immediately at info@meedloyalty.com if you become aware of any unauthorized use of credentials. meed is not liable for loss or damage arising from failure to protect login credentials.

3.7 Materials Review and Approval

meed will provide you with previews of materials (including QR posters, Program setup, and other deliverables) for your review and approval before finalizing. You are responsible for reviewing all materials for accuracy and completeness. Once you have approved materials, or if you do not provide feedback within the timeframe specified by meed, meed may proceed with production and delivery. meed is not responsible for errors or omissions in materials that you approved or failed to identify during the review period.

3.8 Taxes and Compliance

You are responsible for all taxes, duties, and compliance with applicable laws related to your Event and use of the Service. The Service Fee is exclusive of all taxes, levies, and duties.

 

4. FEES AND PAYMENT

4.1 Service Fee

The Service Fee in the Order Form covers: (a) setup and configuration; (b) Service availability for the full Event period; (c) support during the Event period; (d) analytics access for 30 days after Event end; and (e) physical materials specified in the selected package. The Service Fee does not include additional physical materials beyond package inclusions, additional shipping costs, or other disbursements, which (if ordered) are charged separately as specified in the Order Form.

4.2 Payment Terms

50% deposit is due and payable when meed accepts the Order Form and must be received by meed before setup commences. 50% balance is due and payable 10 days before Event start date and must be received by meed. Payment shall be made by bank transfer to the account specified by meed.

4.3 Late Payment

If balance payment is not received by meed by the due date, meed may delay credential distribution and Service delivery until payment is received. Any resulting delay is not meed's responsibility.

4.4 Event Cancellation, Postponement or Changes

(a) Cancellation or Postponement by You (Non-Force Majeure): If you cancel or postpone the Event before it starts for reasons other than Force Majeure: (i) more than 30 days before Event start date, you will receive a 50% refund of fees paid to meed; or (ii) 30 days or less before Event start date, no refund is due.

(b) Force Majeure Affecting the Event: If a Force Majeure Event (defined in Clause 12) prevents the Event from proceeding:

  • (i) if the Event has not started and you will reschedule the Event within 60 days, meed will extend Service availability to the new Event dates at no additional charge (subject to meed's availability and your written notice to meed within 15 days of the Force Majeure Event);

  • (ii) if the Event has not started and you will not reschedule within 60 days, the Agreement terminates with no refund; or

  • (iii) if the Event has started, no refund is due.

(c) Material Scope Changes: Changes to Event scope after Order Form acceptance (including Event date changes exceeding 30 days, exhibitor count changes exceeding the greater of 15% or 3 locations, or additional services) require written agreement by both parties and may incur additional fees. meed may decline to accommodate such changes if not operationally feasible.

5. DATA AND ANALYTICS

5.1 Visitor Participation

Visitors who join your Event Program are meed members. meed provides the platform enabling Visitors to participate in Programs. meed collects and processes Visitor data in accordance with meed's Privacy Policy and Membership Terms and Conditions.

5.2 Your Analytics Access

meed provides you with analytics dashboard access showing Event performance data including visitor activity, stamp collection, redemption activity, and exhibitor activity. You may export this data during your access period.

5.3 Use of Event Data

meed may: (a) use Event data to deliver the Service and provide you with analytics; (b) retain aggregated Event data (with no personally identifiable information) for platform improvement, benchmarking and research; and (c) reference the Event name and general Event information in meed's marketing materials.

5.4 Exhibitor Information

You provide Exhibitor contact information to meed for Service delivery. You confirm you have authority to share this information with meed. meed will generate PIN credentials for each Exhibitor. You are responsible for distributing these PINs to Exhibitors. Exhibitor PIN access to the business app is limited to the Event period and will be deactivated after the Event end date.

5.5 Post-Event Access and Data Retention

Analytics dashboard access for you remains available for 30 days after Event end date. Organizer PIN login for analytics access remains active for 30 days after Event end date. After the 30-day period, you may request data exports by email to info@meedloyalty.com (fees may apply based on request complexity). meed will retain Event data in accordance with applicable legal requirements and meed's Privacy Policy.

5.6 Data Transmission

You acknowledge that data transmitted through the Service may be transmitted unencrypted over networks and may be modified to conform to technical requirements.

 

6. INTELLECTUAL PROPERTY

6.1 meed's Intellectual Property

meed retains all ownership rights in the meed platform, software, and technology. meed grants you a limited, non-exclusive license to access the Service solely for your Event. meed grants Exhibitors a limited, non-exclusive license to access the business app solely for the Event period. These licenses terminate on the earlier of: (a) for you, 30 days after Event end date; or (b) for Exhibitors, the Event end date.

6.2 Your Content and Marketing Rights

You grant meed a limited license to: (a) use your Event name, logo and materials to deliver the Service; and (b) reference the Event and your organization in meed's marketing materials, case studies, and website. You also grant meed the right to use photos, videos and content from the Event for meed's marketing purposes. This license survives termination.

You confirm that you have obtained necessary authorizations from Exhibitors for meed to use Exhibitor logos and materials provided by you for Service delivery and meed's marketing purposes.

 

7. CONFIDENTIALITY

You agree to keep confidential all non-public information disclosed by meed relating to the Service, meed's technology, systems,  and business operations. You may disclose meed's confidential information: (a) to personnel, employees, contractors, or professional advisers who need to know and are bound by confidentiality obligations; (b) as required by law or court order; or (c) as necessary to enforce rights under this Agreement. Confidentiality obligations survive termination.

 

8. WARRANTIES AND DISCLAIMERS

8.1 Your Warranties

You warrant that: (a) you have authority to enter this Agreement and host the Event; and (b) you own or have rights to all content and data you provide to meed.

8.2 Disclaimer

The Service is provided "as is" and "as available". meed makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. meed does not warrant that the Service will be uninterrupted, error-free, or completely secure. meed does not guarantee specific visitor participation rates or Event outcomes. meed uses reasonable efforts to ensure analytics data accuracy, but does not warrant that analytics data or reports will be error-free or complete in all respects.

 

9. LIMITATION OF LIABILITY

9.1 Liability Cap

meed's total aggregate liability under this Agreement (whether in contract, tort, negligence or otherwise) is limited to the total Service Fee paid by you under the Order Form.

9.2 Excluded Damages

meed shall not be liable for any indirect, incidental, consequential, special or punitive damages, including loss of profits, revenue, data, business opportunity, or business interruption, even if advised of the possibility of such damages. You must take all reasonable steps to mitigate any loss or damage.

 

10. INDEMNIFICATION

You will indemnify and hold meed harmless from claims, damages, losses and expenses (including reasonable legal fees) arising from: (a) your breach of this Agreement; (b) content or data you provide infringing third party rights; (c) your violation of applicable laws; (d) Event operations and conduct of Visitors or Exhibitors; or (e) your use of Visitor or Exhibitor data in violation of data protection laws.

 

11. TERM AND TERMINATION

11.1 Term

This Agreement commences when meed accepts the Order Form and continues until 30 days after Event end date, unless terminated earlier under this Clause 11.

11.2 Termination for Breach

Either party may terminate immediately by written notice if the other party: (a) fails to pay undisputed amounts when due and does not pay within 15 days of written notice; (b) breaches Clauses 3, 6, 7 or 10 and fails to remedy within 15 days of written notice (if the breach is capable of remedy); or (c) becomes insolvent, enters bankruptcy, or has a receiver or administrator appointed.

11.3 Suspension

If meed reasonably believes you or any Exhibitor is in breach of this Agreement or meed's Terms of Use, meed may temporarily suspend Service access. meed will provide notice where reasonably practicable. Suspension does not relieve payment obligations for Services already delivered.

11.4 Effect of Termination

Upon termination: (a) each party's obligations under this Agreement cease, except for obligations that have accrued or that by their nature survive termination; (b) you must immediately cease using the Service; (c) any remaining analytics access continues as provided in Clause 5.5; and (d) Clauses 5, 6, 7, 9, 10, and 13 survive termination.

11.5 No Refund on Termination for Breach

If meed terminates under Clause 11.2 due to your breach, no refund is due.

 

12. FORCE MAJEURE

12.1 Force Majeure Events

Neither party shall be liable for failure or delay in performing its obligations due to events beyond its reasonable control ("Force Majeure Event"), including:

(a) natural disasters (floods, earthquakes, severe weather);

(b) severe weather warnings or emergency declarations issued by relevant authorities for the Event location;

(c) epidemic, pandemic or public health emergency (including government-imposed restrictions affecting the Event or Event location);

(d) fire, explosion, major power outage affecting the Event venue or surrounding area;

(e) war, terrorism, civil unrest affecting the Event location;

(f) government orders or actions (including closure orders, prohibition on gatherings, or requisition of venues) affecting the Event or Event location; or

(g) major disruption to public transport or internet infrastructure affecting the Event location or preventing access to the Event venue.

12.2 Notice and Mitigation

The affected party must: (a) notify the other party in writing within 3 Business Days of becoming aware of the Force Majeure Event; (b) provide details of the Force Majeure Event and expected duration; (c) use reasonable efforts to mitigate the impact; and (d) notify the other party when the Force Majeure Event has ended.

12.3 Effect

During a Force Majeure Event: (a) the affected party's obligations are suspended without liability for the duration of the Force Majeure Event; (b) payment obligations for Services already delivered are not suspended; and (c) time for performance is extended by the duration of the Force Majeure Event plus 14 days to resume performance.

12.4 Extended Force Majeure

If a Force Majeure Event prevents meed from delivering the Service for more than 60 consecutive days, either party may terminate by written notice. Upon termination, neither party has further liability except for payment obligations for Services already delivered by meed before the Force Majeure Event. This Clause applies where the Force Majeure Event prevents meed's performance; where you cancel or postpone the Event due to Force Majeure, Clause 4.4(b) applies instead.

12.5 Force Majeure During Event

If a Force Majeure Event occurs during the Event period (after the Event has started), meed has no liability for Service unavailability during the Force Majeure Event, and no refund is due.

 

13. GENERAL PROVISIONS

13.1 Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions and agreements.

13.2 Amendments

meed may update these Terms & Conditions by posting a new version at meedloyalty.com/events-terms. The version referenced in your Order Form governs your Event. Changes to the Order Form require written agreement by both parties.

13.3 No Partnership

Nothing in this Agreement creates a partnership, joint venture, employment or agency relationship. Neither party has authority to bind the other.

13.4 Assignment

meed may assign this Agreement to an affiliate or in connection with a merger, acquisition or sale of substantially all its assets. You may not assign this Agreement without meed's prior written consent.

13.5 Notices

All notices under this Agreement must be in writing and in English, and sent to the addresses and email addresses specified in the Order Form.

Either party may change its address or email by written notice to the other party.

Notices may be sent by: (a) registered mail or courier service, postage or delivery charges prepaid; or (b) email.

Notices are effective: (a) on the third Business Day after mailing by registered mail; (b) on the first Business Day after sending by next-day courier; or (c) on the date of transmission if sent by email, provided that notice sent by email is effective unless the sender receives an automated message that the message has not been delivered. If transmission occurs on a non-Business Day, notice is effective on the first Business Day following transmission.

13.6 Severability

If any provision is held invalid or unenforceable, it shall be severed and the remaining provisions continue in full force.

13.7 Waiver

No failure or delay in exercising any right constitutes a waiver. No waiver is effective unless in writing.

13.8 Third Party Rights

This Agreement does not confer rights on any third party. The Contracts (Rights of Third Parties) Ordinance (Cap. 623) does not apply.

13.9 Counterparts

This Agreement may be executed in counterparts (including by electronic signature).

13.10 Governing Law and Jurisdiction

This Agreement is governed by the laws of Hong Kong Special Administrative Region. Each party irrevocably submits to the exclusive jurisdiction of the courts of Hong Kong and consents to extraterritorial service of process.
